Terms of Service
1. Acceptance
By accessing payments-central.com or using any Payments Central services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the site or services.
These terms are between you and Red Mutex (trading as Payments Central). "Services" means our payment orchestration platform, APIs, and related websites.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or the company you represent. By using the Services, you represent that you meet these requirements.
3. Acceptable use
You agree not to use the Services to:
- Process payments for illegal goods or services, including but not limited to narcotics, unlicensed firearms, or counterfeit items.
- Facilitate fraud, money laundering, or terrorist financing.
- Circumvent any applicable laws, regulations, or payment network rules.
- Attempt to reverse-engineer, copy, or resell the platform without written permission.
- Transmit malware, conduct denial-of-service attacks, or otherwise interfere with the platform's availability.
We reserve the right to suspend or terminate access for violations of these terms without notice.
4. Merchant accounts and KYC
Access to the payment processing features requires a merchant account. By applying, you authorise us to perform know-your-customer (KYC) and anti-money laundering (AML) checks. We may decline or suspend merchant accounts that fail these checks or that present unacceptable risk in our sole judgement.
5. Fees and payments
Fees for using the payment processing Services are as set out on the pricing page or in your merchant agreement. We reserve the right to change fees with 30 days' notice. Continued use after notice constitutes acceptance of the new fees.
6. Intellectual property
All content, design, trademarks, and software on this site are the property of Red Mutex or its licensors. Nothing in these terms grants you a licence to use our intellectual property except as strictly necessary to use the Services.
7. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RED MUTEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.
9. Indemnity
You agree to indemnify and hold harmless Red Mutex and its directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Services, your violation of these terms, or your infringement of any third-party rights.
10. Termination
Either party may terminate a merchant agreement with 30 days' written notice. We may terminate immediately for breach of these terms, illegal activity, or at the direction of a payment network or regulator. Upon termination, your right to access the Services ceases immediately.
11. Governing law
These terms are governed by the laws of the jurisdiction in which Red Mutex is registered, without regard to conflict-of-law principles. Any dispute shall be resolved by the courts of that jurisdiction.
12. Changes to these terms
We may update these terms from time to time. We will notify existing merchants by email at least 14 days before material changes take effect. Continued use after that date constitutes acceptance.
